Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Quality Network US LLC, doing business as FineData.ai ("FineData," "we," "us," or "our"), governing your access to and use of our web scraping API platform, website, documentation, and related services (collectively, the "Service").
By creating an account, accessing our API, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Service Description
FineData provides a web scraping API that enables programmatic extraction of publicly available data from websites. The Service includes:
- HTTP API endpoints for submitting scraping requests
- Anti-bot bypass capabilities (TLS fingerprinting, browser emulation)
- CAPTCHA solving (reCAPTCHA, hCaptcha, Cloudflare Turnstile)
- JavaScript rendering via headless browsers
- Proxy rotation across datacenter and residential networks
- Async job processing for long-running requests
- Documentation, code examples, and client libraries
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when practical.
3. Account Registration
To use the Service, you must:
- Create an account with a valid email address
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Provide accurate and complete registration information
- Maintain the security of your account credentials and API keys
You are responsible for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately at support@finedata.ai. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.
API keys are confidential. Do not share them publicly, embed them in client-side code, or commit them to public repositories. You are liable for any usage incurred through your API keys.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. The AUP defines what constitutes permitted and prohibited use of the Service.
In summary, you agree to use the Service only for lawful purposes and in compliance with all applicable laws, including data protection regulations (GDPR, CCPA, and others). You may not use the Service to scrape personal data without proper legal basis, engage in competitive harm, perform DDoS attacks, or facilitate any illegal activity.
Violations of the AUP may result in immediate suspension or termination of your account, with or without prior notice.
5. Legal and Regulatory Compliance
5.1 Data Protection Laws
Web scraping may implicate data protection laws including, but not limited to, the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act / California Privacy Rights Act (CCPA/CPRA), the UK General Data Protection Regulation (UK GDPR), and other applicable national and regional privacy regulations.
You are solely responsible for determining whether your data collection activities comply with all applicable data protection laws. The fact that data is publicly available on a website does not mean it is free from privacy law obligations. Publicly accessible personal data (such as names, email addresses, social media profiles, and identifiers) remains subject to data protection regulations.
5.2 Lawful Basis
Where applicable law requires a lawful basis for processing personal data (e.g., under GDPR Article 6), you must ensure and be able to demonstrate that you have an appropriate legal basis before collecting such data through the Service. This may include consent, legitimate interest, contractual necessity, or public interest, depending on your jurisdiction and use case.
5.3 Target Website Terms
You acknowledge that target websites may have their own terms of service restricting automated access, scraping, or data collection. You are solely responsible for reviewing and complying with the terms of service of any website you scrape using the Service. FineData provides the technical capability to access web pages but makes no representation that scraping any particular website is legally permissible.
Any claims, disputes, or liabilities arising from your violation of a target website's terms of service are your sole responsibility.
6. Billing and Payments
6.1 Subscription Plans
The Service is offered through tiered subscription plans, each with a monthly token allocation and feature set. Plan details and pricing are published on our pricing page and may be updated periodically.
6.2 Payment Terms
- Subscription fees are billed monthly in advance
- Payments are processed through Stripe using the payment method on file
- All fees are in US Dollars (USD) unless otherwise specified
- Prices are exclusive of applicable taxes, which will be added where required by law
6.3 Free Tier
New accounts receive a complimentary allocation of tokens. The free tier is subject to rate limits and may have restricted access to certain features. We reserve the right to modify or discontinue the free tier at any time.
6.4 Refunds
Subscription fees are generally non-refundable. If you experience a significant service disruption that prevents you from using the Service, contact us at support@finedata.ai to discuss credit or refund options on a case-by-case basis.
7. Token System
API usage is metered using a token-based system. Different request types consume different amounts of tokens based on the complexity of the operation:
- Base request: 1 token
- Anti-bot bypass: additional tokens based on the protection encountered
- JavaScript rendering: additional tokens for headless browser execution
- CAPTCHA solving: additional tokens for each CAPTCHA solved
- Residential proxies: additional tokens for residential IP usage
Token costs are documented in our API documentation and are subject to change with notice. You are only charged tokens for successful responses. Failed requests (our fault) do not consume tokens.
Unused tokens do not roll over to the next billing period unless your plan specifically includes rollover.
8. Service Level and Availability
We strive to maintain high availability and performance of the Service. While we target 99.9% uptime for our API infrastructure, this is a goal and not a guaranteed SLA for all plan tiers.
- Enterprise plans include a formal Service Level Agreement (SLA) with uptime guarantees and service credits for downtime
- Standard plans are provided on a best-effort basis with a target of 99.9% API availability
- Free tier has no uptime commitments and may be subject to additional rate limits during peak periods
Scheduled maintenance windows will be communicated via email at least 48 hours in advance when possible. Emergency maintenance may occur without prior notice.
Note: scraping success rates depend on the target website's protections and may vary. We do not guarantee a specific success rate for any particular website.
9. Intellectual Property
The Service, including its software, APIs, documentation, website design, logos, and trademarks, is the intellectual property of Quality Network US LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You may not reverse-engineer, decompile, or disassemble any part of the Service. You may not use our trademarks or branding without prior written permission.
10. Data Ownership and AI Usage
10.1 Ownership of Extracted Data
You own the data you extract. We make no claim to ownership of the content returned by our API. However, you are solely responsible for ensuring that your data collection activities comply with applicable laws, the target website's terms of service, and our Acceptable Use Policy.
We do not store, cache, or retain the content of API responses beyond what is necessary for the immediate delivery of the response to you.
10.2 AI and Automated Processing
Our Service includes AI-powered data extraction features that use large language models (LLMs) to parse and structure web page content on your behalf. With respect to this processing:
- No model training on your data. We do not use the content of your API requests or responses to train, fine-tune, or improve any machine learning or AI models.
- No data retention for AI. Content processed by our AI extraction features is handled in real time and is not stored, cached, or logged beyond immediate delivery of the response.
- Aggregated analytics only. We may use anonymized, aggregated usage metrics (such as request volumes, feature adoption rates, and error rates) to improve our Service. This data does not include the content of scraping requests or responses.
- No automated decision-making. We do not use AI or automated processing to make decisions that produce legal effects concerning you or similarly significantly affect you. AI features are tools provided for your use to extract data, not to make decisions about individuals.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Any particular website can be successfully scraped
- The data returned will be accurate, complete, or current
- The Service will meet your specific requirements
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINEDATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- Free and Starter plans: One hundred dollars ($100) or the total fees paid by you in the twelve (12) months preceding the claim, whichever is greater
- Professional plans: The total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim
- Enterprise plans: As specified in your Enterprise agreement, or two times (2x) the fees paid in the twelve (12) months preceding the claim, whichever is agreed upon
These limitations apply regardless of the legal theory upon which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other basis. Enterprise customers may negotiate different liability terms as part of a custom agreement.
13. Indemnification
You agree to indemnify, defend, and hold harmless FineData, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms or the Acceptable Use Policy
- Your violation of any applicable law or third-party rights
- The data you collect, process, or distribute using the Service
14. Data Breach Notification
In the event of a security breach involving your personal data, we will:
- Notify affected customers without undue delay, and in any event within 72 hours of becoming aware of the breach where legally required (aligned with GDPR Article 33)
- Provide details of the nature of the breach, categories and approximate number of data subjects affected, likely consequences, and measures taken or proposed to address the breach
- Cooperate with regulatory authorities as required by applicable data protection laws
Notifications will be sent to the email address associated with your account. For Enterprise customers with a Data Processing Agreement, breach notification procedures specified in the DPA will take precedence.
15. Termination
15.1 By You
You may cancel your account at any time through your account settings or by contacting support@finedata.ai. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.
15.2 By Us
We may suspend or terminate your access to the Service, with or without notice, if:
- You violate these Terms or the Acceptable Use Policy
- Your payment method fails and remains unresolved after notification
- We reasonably believe your account is being used for illegal activity
- Continued provision of the Service becomes impractical or uneconomical
15.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including liability, indemnification, and governing law) will remain in effect.
16. Dispute Resolution
16.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Wyoming, United States, or at a location mutually agreed upon by the parties.
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs, and the parties shall share equally the fees and expenses of the arbitrator and the AAA.
16.2 Injunctive Relief Carve-Out
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or to address ongoing violations of the Acceptable Use Policy.
16.3 Class Action Waiver
All Disputes must be brought individually. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. To the extent any litigation is permitted under Section 16, it shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, United States.
18. Data Processing Agreement
For customers who require a Data Processing Agreement (DPA) to meet their compliance obligations under GDPR or other data protection regulations, we offer a standard DPA at no additional cost for all paid plan tiers.
Our DPA covers subject matter and duration of processing, types of personal data and categories of data subjects, Standard Contractual Clauses for international data transfers, and technical and organizational security measures. 19. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will provide notice through one or more of the following: email to the address associated with your account, a prominent notice on our website, or an in-app notification.
Material changes will take effect 30 days after notice is provided, unless the changes are required by law or relate to new features. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
